Acceptance of Terms
These Terms and Conditions of Use (“Terms”) are a legally binding agreement between you (“User” or “you”) and Todspot LLC (“Todspot,” “we,” “us,” or “our”). By accessing or using the Todspot website and any related services, content, or functionality (collectively, the “Services”), you agree to comply with and be bound by these Terms​. If you do not agree, you must not use our Site or Services. We recommend you read these Terms carefully.
Additional terms or agreements may apply to certain services or offerings (for example, if we have a separate agreement for a paid program or course). In the event of any conflict between these Terms and any specific agreement, the specific agreement for that product or service will take precedence to the extent of the conflict.

Eligibility
By using the Services, you represent that you are at least 18 years old, or if you are under 18, that you are using the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The Services are not intended for children under 13 (in compliance with COPPA), and if you are under 13 you may not create an account or use the Services. If you are a parent or guardian, you are responsible for your child’s use of the Services.

Account Creation & Security
Some features of our Services require you to create an account. If you create an account, you agree to provide accurate, current, and complete information and to update it as necessary to keep it true and correct​. You must choose a secure password and maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your account. If you suspect any unauthorized use of your account or any breach of security, you must notify us immediately. Todspot will not be liable for any loss or damage arising from your failure to safeguard your account information. Use of another person’s account without permission is strictly prohibited​.  We reserve the right to suspend or terminate your account (and refuse any and all current or future use of the Services) if we suspect that you have provided false information, violated these Terms, or for other security or legal reasons.

Purchases, Payments, and Refunds
By purchasing any products or services (such as courses, consultations, or digital downloads) through our Site, you agree to provide current, complete, and accurate purchase and account information. All payments must be made at the prices in effect at the time of purchase and you authorize us (or our third-party payment processors) to charge your chosen payment method.

Payment Processing: Payments for our services are handled by third-party payment processors like Stripe or PayPal. These processors have their own terms and privacy policies, which you should review. We do not directly collect or store your full payment card details; any payment information you provide is submitted securely to our payment processors​.Â

Refund Policy: All sales are final. We generally do not offer refunds for purchases, except where explicitly stated otherwise​. For example, if a specific course or program includes a satisfaction guarantee or refund window, the terms of that guarantee will apply. We will make any such terms clear to you at the time of purchase. By default, once you have accessed or begun to use a digital product or service, you forfeit any right to a refund.

  Chargebacks: You agree not to initiate any chargeback with your bank or credit card issuer without first attempting to resolve the issue by contacting us. In the event of an unjustified chargeback, we reserve the right to terminate your account and pursue any owed amounts. Filing a chargeback for a valid charge may result in you forfeiting access to the product or service you purchased​.

Prohibited Uses
You agree to use our Site and Services only for lawful purposes and in accordance with these Terms. You shall not engage in any of the following prohibited activities:

Unlawful Activities: Using the Site or Services for any purpose that is illegal or beyond the scope of their intended use (as determined solely by Todspot). This includes, but is not limited to, using the Services in violation of any local, state, national, or international law or regulation.

Infringement of Rights: Uploading, posting, or transmitting any content that infringes or violates the intellectual property rights, privacy rights, or other rights of any person or entity. Do not use the Services to distribute unauthorized or pirated content.

Harmful Conduct: Transmitting any code, virus, malware, or other software of a destructive or malicious nature, or performing any actions that could disable, overburden, damage, or impair the operation or appearance of our Site or Services. You agree not to attempt to gain unauthorized access to any systems, passwords, or data that belong to us or any other users, or to hack, attack, or disrupt any function of the Services.

Harassment or Abuse: Using the Services to harass, defame, bully, or threaten others, or to send obscene, hateful, or otherwise objectionable communications. Any content you submit must be respectful and appropriate.

Impersonation and Misrepresentation: Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

Data Mining: Using any automated system (such as robots, spiders, or offline readers) to scrape, collect, or harvest information from the Site for any purpose without our express written permission, except for publicly available search engine indexing.
We reserve the right to investigate and take appropriate legal action against anyone who, in our judgment, violates these Prohibited Uses or any other provision of these Terms. This can include removing offending content, suspending or terminating accounts, and reporting you to law enforcement authorities if warranted.

Digital Products & Course Access
If you purchase any digital products, online courses, e-books, or downloadable content from Todspot, the following terms also apply:

Personal Use Only: Digital products (including course materials, videos, PDFs, etc.) are for your personal and non-commercial use only. You may not share, distribute, publish, or otherwise give others access to the content you have purchased, whether for free or for sale​. Each purchase is intended for a single user.

No Resale or Unauthorized Distribution: You agree not to reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purpose any portion of the digital content or access to the digital content. We reserve the right to take action (including legal action and terminating your access) against unauthorized distribution or resale of our materials.

Access Terms: For online courses or membership content, your access might be time-limited (e.g., access for one year) or as stated at purchase. We strive to maintain continuous access, but we do not guarantee that content will be available indefinitely. We reserve the right to update or remove content for legal or business reasons.

No Refunds on Digital Products: Once you have been granted access to a digital product or course, we typically do not offer refunds (as noted above in Refund Policy), especially after significant portions have been accessed. By purchasing, you agree to this condition​. Any exceptions or refund policies for specific products will be communicated at the time of purchase.
Intellectual Property
All content and materials available on the Site and through our Services, including but not limited to text, graphics, logos, button icons, images, audio clips, videos, software, and designs, are the property of Todspot LLC or our content suppliers and are protected by copyright, trademark, and other intellectual property laws​ . This includes the overall look and feel of our Site, our “Todspot” name and logo, and any proprietary content created by us.

Limited License: Todspot grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Site and our content for your personal, non-commercial use​

User Feedback: If you submit any feedback, comments, or suggestions to us about our products or services, you agree that we are free to use and implement those ideas without compensation to you, and that you grant us a perpetual, irrevocable, worldwide, royalty-free license to use the feedback in any manner.
Any rights not expressly granted in these Terms are reserved by Todspot. Unauthorized use of the Site or our content may violate copyright, trademark, and other laws and could result in civil or criminal penalties.

User-Generated Content and Social Media
We may allow users to post reviews, comments, or other content on our Site or on our social media pages. If you choose to share testimonials, tag us in social media posts (e.g., tagging @Todspot on Instagram), or otherwise submit content featuring our brand or our products/services, the following terms apply:

License to Use Content: By posting or sharing content that references Todspot or our Services, you grant Todspot LLC a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, and display such content (including your social media handle or username) in any media. This permission allows us, for example, to repost your kind testimonial on our website or to share a success story you posted on social media​. We will endeavor to give you credit (such as citing your first name or social media handle) when practical, but you agree that we are not obligated to do so.

Right to Opt-Out: If you later decide you no longer want us to feature or share your user-generated content, please contact us and we will make commercially reasonable efforts to cease further use of your content in future materials​. (Note that we cannot retroactively remove content that has already been distributed, but we will refrain from future use.)

Appropriate Content: You are solely responsible for any content you post or submit. The content must not be illegal, obscene, threatening, defamatory, or infringing on third-party rights. We reserve the right to remove or not use any user-generated content that we find inappropriate or which violates any party’s intellectual property or these Terms.

Please do not submit any ideas, inventions, or works in which you expect to claim intellectual property ownership, as we are not responsible for any misappropriation in case we are working on similar concepts independently.

You acknowledge that your use of the Site and Services is at your sole risk. No advice or information, whether oral or written, obtained by you from Todspot or through the Services shall create any warranty not expressly stated herein. Limitation of Liability
To the maximum extent permitted by law, Todspot LLC and its directors, officers, employees, agents, partners, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses​. In no event shall Todspot’s total cumulative liability for any claims arising out of or related to these Terms or the Services, regardless of the form of action, exceed the greater of: (a) the total amounts you paid to Todspot in the 6 months immediately preceding the claim, or (b) fifty U.S. dollars (US $50).
Todspot LLC is not responsible for any injury, loss, or damage resulting from the use of our educational content or the implementation of techniques discussed on the Site – such use is at your own risk (see Disclaimer below for additional terms regarding informational content)​.  We provide tools and information, but ultimate responsibility for decisions and outcomes lies with the user.
Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions Todspot’s liability is limited to the maximum extent permitted by law.

Indemnification
You agree to indemnify, defend, and hold harmless Todspot LLC and its affiliates, officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, judgments, awards, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of our Site or Services; (b) your violation of these Terms or of any law or regulation; (c) your infringement of any intellectual property or other right of any person or entity; or (d) any content or data you submit to the Site. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which event you will cooperate with us in asserting any available defenses). This indemnification obligation will survive any termination of these Terms and your use of the Services.

 Governing Law & Dispute Resolution
These Terms and any disputes arising out of or related to them or the use of the Services are governed by the laws of the State of California, USA, without regard to its conflict of law principles​.
However, we recognize that laws may differ in other jurisdictions. If you are a consumer located outside the U.S., you may be entitled to certain protections under the laws of your country of residence. Nothing in these Terms affects any rights you may have under mandatory consumer protection laws in your local jurisdiction. In particular, if you are an EU or UK resident, you will not be deprived of the protections of the laws of your country of residence, and you may have the right to resolve disputes in the courts of that country.
Dispute Resolution: You and Todspot agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services (including the breach, termination, enforcement, interpretation, or validity thereof) shall first be attempted to be resolved by negotiating in good faith. If we cannot resolve the dispute informally, you agree that the dispute will be resolved by binding arbitration on an individual basis, not in court. The arbitration will be administered by a neutral arbitrator mutually agreed upon (or if not agreed, through the American Arbitration Association “AAA”) and conducted in English in Miami, Florida or the nearest metropolitan area, unless otherwise required by applicable law. Any arbitration will be conducted on an individual basis only; class arbitrations and class actions are not permitted​. You and Todspot are each waiving the right to a trial by jury or to participate in a class action.
The arbitrator shall have authority to grant any remedy that would be available in a court under law, and the arbitrator’s decision may be entered as a judgment in any court of competent jurisdiction. Arbitration fees and procedure will be governed by the rules of the arbitration organization (e.g., AAA Consumer Arbitration Rules), and we will abide by any requirements to make arbitration accessible and not cost-prohibitive for consumers. If any part of this arbitration provision is found unenforceable, that part shall be severed and the remainder shall still be enforceable.
Exception – Small Claims and Injunctive Relief: Notwithstanding the foregoing, either party may choose to pursue a claim in small claims court if it qualifies. Also, either party may seek injunctive or equitable relief in a court of proper jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property or proprietary rights.
This Dispute Resolution section will survive termination of these Terms.

Changes to Terms
Todspot may revise or update these Terms from time to time at our sole discretion. If we make material changes, we will notify users by posting the updated Terms on our Site with a new effective date and/or via a notice to your account or email, prior to the changes taking effect, as required by law. The latest version of the Terms will always be available on this page, and we indicate the effective date at the top. By continuing to use the Site or Services after the updated Terms take effect, you agree to be bound by the modified Terms. If you do not agree to the changes, you must stop using our Services.
